Providing a corporate officer to hold office as company secretary

Providing a registered office address

We can offer an address for companies registered in Scotland for the forwarding of official mail and documents, e.g. from Companies House or the Inland Revenue. We can also arrange for a registered office to be provided for companies registered in England & Wales.

Providing a service address for up to two directors of your company

Officers of UK companies are becoming increasingly conscious of the need to keep their personal details private, especially in relation to their residential addresses. The Companies Act 2006 distinguishes between a director’s service address and his/her usual residential address. While the service address is publicly available Companies House need only disclose a residential address to public authorities and credit reference agencies in certain circumstances.

Any residential address, for either a director or a secretary which was publicly available at Companies House on 1 October 2009, became that officer’s service address on that date. Both directors and secretaries are able to change the address that is on the public record to help keep their details confidential and Oswalds can offer an address for use as a service address.

Statutory registers held electronically

Annual Return

Essential company information must be filed at Companies House each year. We will ensure that this return is correctly completed and filed with Companies House on your behalf. All you need do is confirm to us the information we hold on file for your company and provide us with the Companies House filing fee, which will allow us to file the annual return electronically.

Accounts and General Meeting reminders and documents

To avoid incurring heavy fines from Companies House, subscribers receive several timely reminders of the filing deadline and are kept informed of the necessary accounting requirements. If the company has not traded, we can assist in preparing Abbreviated Accounts for a dormant company.

Fees

Our Annual Compliance Service is provided under Agreement and an annual subscription of £300 + VAT. Mail forwarding charges are also applicable.

Evidence of identity

Please note that to comply with the Money Laundering Regulations 2007, we will request documentation which will enable us to verify the identity of each client prior to the instigation of the service.
