Company strike-off

A company may be struck off the register as part of a restructuring exercise, if the company has ceased to trade or if the company is no longer needed for the reasons it was set up for (for example, to protect a name).

 

The process is only suitable for companies which have no assets or liabilities and the company needs to be up to date with its filings of annual returns and accounts at Companies House.

The voluntary striking off procedure is only appropriate for companies which have no assets or liabilities. If striking off occurs while any assets remain, those assets are lost to the Crown. A company with assets or liabilities should use the liquidation procedure instead.
