The final implementation of the Companies Act 2006 will take place on 1 October 2009.
Version 4.0 of PCSec contains the changes needed to comply with the requirements of the Act, and Companies House after this date. As an overview this includes:
- Corporate/Company officers. New requirements to store, and file additional details (dependent on whether registered within or outside the European Economic Area).
- Individual officers. Ability to select and use a service address for use on the public record and the company registers.
- Company Addresses. New address in relation to the Single Alternative Inspection Location (SAIL).
- Share Classes. Ability to add a share class and record share transaction without having an authorised capital limit. New field to record details of the voting rights and prescribed particulars associated with a share class.
- Events. All events that produce a Companies House form have been updated with the new Companies Act 2006 forms and XML electronic form where appropriate. Events are date driven and PCSec will automatically determine where a 1985 Act form or a 2006 Act form is required.
- Individual directors. New statutory register for Register of Directors Residential Addresses.
- Corporate/Company officers. The Register of Directors and Register of Secretaries have been updated for new corporate/company officers.
- Blank forms. 140 new limited company and LLP Companies Act 2006 forms added as PDF documents in blank forms section.
- Northern Ireland. Northern Ireland companies can be added and administered

XML Activiation Instructions (v4.0)
The latest version of PCSec will upgrade your electronic filing module to communicate with Companies House via their new XML Gateway service.
Changes being introduced under the Companies Act 2006 have meant that Companies House have had to review their electronic filing service. The current service, where forms are sent via email relays, was not deemed secure enough for the filing of director’s residential address information, which from 1 October 2009 will be protected information.
In preparation for this change Companies House are converting their electronic filing service to receive data in XML (Extensible Markup Language) over the web via the Companies House Gateway. Visit Companies House website at http://xmlgw.companieshouse.gov.uk/index.shtml for more information The XML Gateway service is now live and running in parallel with the email filing service. Customers can continue to use their current method of electronic filing should they wish. However Companies House will be permanently switching off the email service on Wednesday 30 September 2009.
With all the other changes being introduced on 1 October 2009 we would recommend that users of the electronic filing service upgrade PCSec and convert to the new XML service now. Successfully filing via the XML service in advance of the 30 September 2009 cut off date will ensure that you are best placed for filing once the Companies Act 2006 is fully implemented after 1 October 2009.
PCSec version 3.0 upgrades to the XML filing service only. A separate release is scheduled to be shipped to all users early September containing all the new Companies Act 2006 components. |
