Companies Act 2006

First commencement provisions: 20 January 2007

The first provisions of the Companies Act 2006 which substantially affect private companies came into force on 20 January 2007.

The company communication provisions allow companies greater freedom to communicate with their members, debenture holders and others using e-communications. In particular, these facilitate the use of emails and website, provided that appropriate consents are obtained from members.

In addition, a new provision imposing personal liability on directors for mis-statements or omissions in company reports also come in to force.
