A company's memorandum
and articles of association are its primary governing documents.
It may be necessary to amend the memorandum or articles of association
to:
- update them to
accord with current law (especially companies registered prior to 1989);
or companies which want to take full advantage of the director
indemnity provisions introduced in 2005.
- implement a specific
transaction (eg purchase of own shares).
- to cater for changes
in share capital; or
- to remove provisions
that are no longer relevant eg out of date share transfer provisions.

make a particular amendment to the memorandum or articles of association

bound copies of the revised memorandum and articles of association.

company. Further copies may be required for a wide range of reasons e.g.
because resolutions have been passed during the life of the company which
need to be reflected (such as a change to the objects clause or to certain
provisions in the articles) or perhaps because further copies are needed
for new shareholders.
