The Companies Act is a substantial re-write of existing company law, so there is a lot to digest. this seminar will take a look at two important areas that will affect all companies: the new e-communications provisions and the changes in the rules relating to holding meetings and passing resolutions which will take effect on 1 October 2007.

E-communication
A look at the new rules relating to e-communications by and to companies, including a practical look at the issues to be considered when using these provisions. The rules are already in force.

Annual General Meetings
After 1 October 2007 most private companies will no longer be required to hold AGMs and the rules for public companies holdings AGMs will change. This session will consider the changes and highlight the effect on different types of companies.

Meetings and resolutions
The changes to these rules will affect all companies, both public and private, which convene meetings or pass resolutions after 1 October 2007. this session will consider how the new rules differ from previous rules, including a look at the new provisions for voting, appointing proxies and conducting polls. We will also highlight the practical implications of these changes for companies, company secretaries and professional advisers.

Speakers

The speakers delivering this seminar are qualified solicitors working in the Internal Legal Services team at Jordans Limited. They each have extensive corporate and commercial legal experience gained in private practice.

Within Jordans, they are responsible for looking at how the Companies Act will affect the company's businesses and clients. They have been assessing the practical implications of the act on the various corporate services offered, including the production of new precedents, review and amendment of procedures, development of new services and ensuring that all employees are fully trained on the new Act. They also have internal company secretarial responsibility for ensuring that all Jordans' group companies are fully compliant with the new law.

Janis Law
Janis is Jordans' Group Chief Solicitor and Director for Corporate Services. She has 17 years of corporate legal experience gained at the major law firm, Osborne Clarke.

Kathleen O'Reilly
Kathleen supports Janis as Senior Legal Advisor. She joined Jordans in May 1999 and has worked for Veale Wasbrough and Beachcrofts respectively.
