30 May 2007 - Draft statutory instruments published
The following draft statutory instruments to be made under the Companies Act 2006 have been published:

  • The Companies (Registration) Regulations 2007 (to come into force on 1 October 2008) dealing with certain aspects of forming a company under the Act: Draft SI;

  • The Companies (Shares, Share Capital and Authorised Minimum) Regulations 2007 (to come into force on 1 October 2008) addressing issues concerning shares, share capital and a company's authorised minimum capital, including issues relating to reductions of share capital: Draft SI, Impact assessment; and

  • The Companies (Fees for Inspection and Copying of Company Records) Regulations 2007 (to come into force on 1 October 2007) giving details of the fees for the right to inspect and acquire a company's records: Draft SI, Impact assessment.

    5 April 2007 - Second commencement order published
    The Companies Act 2006 (Commencement No. 2, Consequential Amendments, Transitional Provisions and Savings) Order 2007 was published by OPSI on 4 April 2007.

    This SI, which came into force on 6 April 2007, brings into force the provisions of Part 28 of the Companies Act 2006 relating to Takeovers and repeals sections 428 to 430F of the Companies Act 1985.

    It also makes consequential amendments to the directors' report as a result of the repeal of sections 323 to 329 of the Companies Act 1985 and makes various changes to the Companies (Audit, Investigations and Community Enterprises) Act 2004 concerning community interest companies to extend them to Northern Ireland.

    5 April 2007 – Political expenditure exemption
    The DTi has published a draft of the Companies (Political Expenditure) Exemption Order together with some frequently asked questions. The order exempts companies whose ordinary business includes the publication of news (such as newspapers, and other publishing or media-related companies) from having to seek shareholder authorisation in order to prepare, publish, or disseminate material of a political nature. This is because it would be impractical for them to have to comply with the provisions on political expenditure in Part 14 of the Companies Act 2006 for something which is within the ordinary course of their business.

    The Companies Act 2006 (Commencement No 2, Consequential Amendments, Transitional Provisions and Savings) Order 2007 will shortly be published bringing into force the takeover provisions of Part 28 of the Companies act 2006 with effect from 6 April 2007.

    The Companies Bill received Royal Assent today and is now known as the Companies Act 2006.

    The Companies Bill date of commencement change. The Government has changed its deadline for the commencement of all parts of the Companies Bill from October 2007 to October 2008. In addition, the provisions on company communications to shareholders and others (including electronic communication) will commence January 2007.

    27 July 2006
    Renaming of the Bill - Companies Bill. This follows an amendment agreed in the House of Commons to acknowledge that the existing company law provisions are to be consolidated into the Bill.

    14 July 2006
    The Company Law Reform Bill has completed its initial journey through the House of Lords. It is currently in the House of Commons and its Third Reading there was scheduled for 13 July 2006. The Bill will have to be reconsidered by the House of Lords after this. This is likely to be in September given the summer recess. Watch this space for articles on specific areas of the Bill.

    The DTI has published draft clauses for the Company Law Reform Bill which restate some of the existing provisions of the Companies Acts 1985 and 1989. The DTI asks for comments by Friday 8 September, to ensure that the changes made in order to bring the existing text into line with the approach adopted in the Bill do not unintentially amend the law. more
