Directors Compliance Service

With effect from 6 April 2008, the statutory requirement for private companies to have a company secretary has been removed. The post of company secretary is now optional.

The compliance obligations which are traditionally undertaken by the company secretary, such as filing information at Companies House, maintaining statutory registers and minute books will still need to be carried out and the onus will be on the directors to ensure that all legal requirements are complied with. Directors will risk criminal sanctions and financial penalties for non- compliance. Failure to file an Annual Return or accounts can also result in the company being struck off by Companies House.

Annual Obligations

Annual Return
Under the Companies Act, every company must submit an Annual Return to Companies House every year. The return contains information as to the share capital, shareholders and officers of the Company. We will ensure that this return is correctly completed and filed with Companies House on your behalf. All you need do is confirm to us the information we hold on file for your company and provide us with the Companies House filing fee, which will allow us to file the annual return electronically. *Please note that when you subscribe to the service, we will set the Company up with an electronic filing code with Companies House.

Annual Accounts
To avoid incurring heavy fines from Companies House, subscribers receive a reminder of the filing deadline and are kept informed of the necessary accounting requirements.


Please note that there is an automatic civil penalty for late filing. The amount depends on how late the accounts are filed at Companies House. The fixed penalties are as follows:

3 months or less £100
3 months one day to 6 months £250
6 months one day to 12 months £500
More than 12 months £1000

If the company has not traded, we can assist in preparing Abbreviated Accounts for a dormant company.

Prepare first board minute documentation
This meeting, held shortly after incorporation, establishes the basic structure of your company. We will prepare the first resolution of the directors, all transfer/allotment documents and share certificates are prepared ready for signature by the director(s) (for newly incorporated companies only)


Register Maintenance
We will maintain all the necessary registers for your company on our specialised software and keep them on a secure database to ensure your company details are kept up-to-date and ready for inspection.

    • dispense with holding duplicate paper records if you so wish;
    • check whether annual returns or accounts have been filed;
    • check your company's next filing dates; and
    • contact the administrator for your company.
