A company's memorandum and articles of association are its primary governing documents.

It may be necessary to amend the memorandum or articles of association to:

• update them to accord with current law (especially companies registered prior to 1989); or companies which want to take full advantage of the director indemnity provisions introduced in 2005.
  
  
• implement a specific transaction (eg purchase of own shares).
  
  
• to cater for changes in share capital; or
  
  
• to remove provisions that are no longer relevant eg out of date share transfer provisions.
