When a company is
first registered it is registered as a specific type of company - ie private
or public – and with a stated type of liability – ie limited
or unlimited.
During the course of the company’s life, the characteristics attached
to these statuses may prevent the company from doing what it wants to
do. In these situations, the company may wish to re-register.
A private company may re-register as a public company eg: if it wishes
to list its shares on a Stock Exchange it will need to exist in the form
of a public company.
A public company may re-register as a private company eg: to escape the
additional obligations imposed on public companies by the Companies Act
1985.
A company which has limited liability may re-register as an unlimited
company. This means that the shareholders of the company will have unlimited
liability for the company’s debts, but unlimited companies do not
have to file accounts at Companies House and are exempt from some other
obligations which apply to limited liability companies.
Similarly, a company which has unlimited liability may re-register as
a company with limited liability in order to give its shareholders the
benefit of limited liability.
